sadly my everyday computer died, Phenom (not II) it had windows vista OEM on the harddrive. I need to replace the MB and CPU. Someone said since it was OEM i need to buy a new OS, i understand. But can i Upgrade it or do full retail?

You need to buy either a full version or an OEM version, you can't use an upgrade. If you get an OEM version of 7 it will be tied to the mobo, but OEM windows 8 is not.
