Is it an OEM Windows 7 version or a retail version?
If OEM you need to buy a new activation key as it is tied to the motherboard with Windows 7 OEM and you are changing motherboards for a reason other than the motherboard failing -- to upgrade.
If it is a retail version then you are fine.
