CPU and MOBO upgrade

My spec:
OS: Windows 7 Home Premium 64-bit
CPU: Intel Pentium 6700 3,20 Ghz
Motherboard: Asrock G41C-VS
GPU: Asus AMD Radeon HD 7770 1GB GDDR5
RAM: 4,00GB Dual-Channel DDR3 398MHz
PSU: Evolve Pulse 550W
HDD: 1TB WD BLUE EDITION

I want to upgrade my CPU to :
AMD athlon x4 760k
and mobo:
MSI FM2-A78M-E35

I am wondering if I can use my old RAM in that mobo and if it will be compatibile with new CPU.

how much FPS in gaming will i gain when i get for example 8gb of 1333 mzh ram?
 
That's a tough question to answer. It's not so much just gaming FPS as it is entire system performance. I'm not really sure you listed your RAM properly as I've never heard of 400MHz DDR3. Can you post a screenshot from CPU-Z of the Memory tab?

Interesting comment, but false. The bandwidth of a 800MHz kit is so much lower than a 1600MHz kit, that regardless of latency, the 1600MHz wins every time.

What i meant was, it's not worth buying new ram since you will only gain a few (if any) fps in games.
