Is the e8500 new in box? If so it should have a stock cooler with it. Also what PSU do you currently have brand and wattage.

The 300w PSU should be good but if you wanted to run a good GPU you would need an upgrade. And I the stock cooler should work good too, but if you wanted it to run cooler you could buy an aftermarket one.

Yes the stock heat sink should fit because it fits the LGA 775 socket so it should work with all CPUs that work in that socket.
