When installing a upgraded CPU (pentium D945), do I have to clear the old one (D915) out of BIOS by clearing CMOS first?

Usually nothing needs to be done to the BIOS when replacing CPUs within the same chip series. However, make sure your motherboard can handle the higher power required from the processor.

Usually, I'd recommend replacing the whole computer with newer equipment, since the Pentium D is 7 years old, but if you already have the parts, my recommendation is too late.

I see nothing in my Motherboard Manual about "power or speed of processors. Only that it will accept Pentium D, among others. How or where do I determine what my Motherboard can handle? My power supply is more than ample(500). The 915 will post, but the 945 won't.
AND, Yes, it's old. I've been building one good (old system) from old parts for years. This one will be for my Sister's 8 year old. So far, it's only cost me $28. (The 8 year old tends to wreck everything he owns quickly!)

You should be fine... the Pentium D 915 and 945 have roughly the same power draw anyway and the FSB Speed is the same.
No need clearing the Cmos either, you may be prompted that the hardware has been changed on the first bootup... but that's all.
