upgrade? Lol. You need pretty much everything(I think that the case too). I think only gpu can stay and psu if you won't add anouther card.
Just look through the forum, sell your old pc for ~200$ and buy decent PC for 1k$.

I didn't include a case or a hard drive. Could you tell me what are the complete specs of your system? (CPU cooler, case, HDD/SSD, model of the PSU)

inho you should buy a SSD too:

He also needs new PSU(750W is OK, 850W is good, even the second 770 can be added. But 550W is not enough, especially old ones) and SSD(128 gb for 100$). And CPU cooler(50$). Maybe new HDD, cause old one could fail.
i5 is a good one, but will you overclock it?
PS case is fine, but other stuff now isn't worth keeping(exept of hdd - it can keep working, but don't rely on it, especially if it is 2+ years old).

Then you're good regarding the case and HDD. Your PSU will handle a 770, but in the limit. If you don't want to buy a new PSU and don't feel comfortable using the 770 with the current one, you could buy a GTX 760 or an AMD R9 270X
About the CPU cooler, you could get something relatively inexpensive but efficient like this: http://pcpartpicker.com/part/cooler-master-cpu-cooler-rr212e20pkr2
