better mobo, this Asus mobo is my favorite for OC. you can buy cpu cooler 212 evo and OC later
better ram for OC
MAYBE you want a complete AMD build, Radeon 280X from Asus is very good choice

Why a bigger PSU? and isn't a higher GHz on the CPU better? mine has 3.9GHz and my Motherboard is the same as yours but with 2 times more memory

But if you look at the price, 30$ is a big difference. The 6350 is just factory overclocked, which means that you can just overclock the 6300 just like the 6350.
