I have the following configuration
Intel Pentium 4 e220 about 2.2ghz
1gb ddr2 ram,nvidia geforce 8400gs 512mb graphic card,
My budget is only about 8500 rupees(9500 rupees max).
I want to upgrade to play games like AC3,CoD ghosts,Nfs mw2012,etc.
I don't mind changing my Mobo.
Please help .

9500 rupees is ~$150. There isn't a lot you can do within that budget to make a significant difference in such an old machine.

You could get a better GPU, but the RAM and CPU would hold things back.
You can't change the motherboard, without also changing the RAM and CPU, which won't fit within $150. And then the old slow GPU would be the choke point.

Thanks for replying.OK maximum I can increase by budget to Rs11500 or $185 .I don't mind playing these games in low settings .Can u tell if these config is OK:amd athlon 2 x2 270 3.4ghz,gigabyte ga 78lmt s2p mobo, 4gb DDR3 1333mhz ram & 1gb or 2gb nvidia zotac 610 Synergy edition .
