I want to upgrade my rig, but have limited funds .

My current setup is : Evga gtx 470
Corsair hx750
AMD phenom II X4 940 black 3.0
2X2 corsair ddr2 ram
Gigabyte am3/am2+/am2 amd mobo
1 TB internal HDD
Windows 7
What should be first on my list to upgrade? I wanted to get the AMD fx8350 but that would also require getting a new mobo.
Any thoughts? Suggestions?

I think you should upgrade your ram, processor, and motherboard. Ram would just kind of come with upgrading your motherboard anyways. You could probably get a good asus motherboard some g.skill or corsair ram 8gig kit, and then a 6350 processor. You probably could get all of that for under 300 bucks.

I have unselected my answer as the 'best solution' because I was misleading the OP.

My deepest apologies if you listened to my advice, as the Phenom II x4 940 is only AM2+ / ddr2 compatible and will not work with AM3 / ddr3.

The reason for my mistake is that these were transitional cpus and were quickly phased out by the more modern AM3 compatible cpus (although their performance is roughly the same).

If you already purchased an AM3 board then I recommend getting the FX - 6300 which currently sells for $120 at Newegg, and you'll get the option of taking your old cpu, motherboard and ram and making another great budget computer down the road.
