i want to upgrade the cpu, where in my computer preffrences, where it tells me how much ram,i have 4,and where it says system, and then processor, how do i upgrade that. And The graphics card, wait are the graphics card and system proccessor the same?I just want to upgrade it so it runs gta iv great without lag and for under $100.

NOPE won't happen for under $100. Especially since you dont' know the difference between processor and graphics card, you would MOST LIKELY short / break the computer if you tried to 'replace' any hardware as well.

IMHO I would put the $100 towards a PS3 or Xbox360 instead, and save time, RISK of damage, and most of all keep costs lower for yourself.

That said, download and run SPECCY, copy and paste that tab to here to tell us ALL what you have in this computer. Also you would need to open the case and look for the PSU (power supply unit) and find out the type and how many Watts it outputs. When you swap video card, newer cards require alot more then 'off the shelf' computers come with. New PSU 600W $90 alone.

The Dell Optiplex 760 Mini Tower has a PSU rated at 275 watts. This wattage is inadequate for any good graphics card.

Something like this will work: http://www.newegg.com/Product/Product.aspx?Item=N82E16814121711 - But keep in mind that this is a low end graphics card. I installed this card in a Dell Optiplex 755 Mini Tower instead of using the on-board graphics. It works for some low end games like "Age of Empires" and such.

So this will work with Dell even though it's asus?

Yes! And you can look at graphics cards of similar types from other manufacturers too. OK for low end games and you don't need to change the power supply. Please check with us here before you buy the graphics card.

so i want a good graphcis card that would run gta iv great, any price just a graphics card.I know there is a good one out there.

It is not as easy as that. The CPU, Motherboard, Graphics card, the Power Supply are all related and must work in harmony!

In order to convert the Dell Optiplex 760 into a good gaming computer, all the parts that I mentioned must be changed. And with the Dell Optiplex 760, the case is BTX, not ATX. This means that when you change the motherboard you will also have to change the computer case. Now you are changing everything. This means a new computer and a new Operating System. New build.
