Computer Turns Off Randomly

First thing is first. Sorry this is so long winded. I just figured more information gives me the best chance of success. Now on to the problem at hand!

Sorry if this is in the wrong section I am not sure that I am in the right spot so any admins feel free to move this to the right category. Let's start, I upgraded some parts in my computer including the mobo, cpu, and cpu cooler. My computer that I built has been acting up lately (new components are about 2 weeks old), beginning just the other day it would cycle on and off about 3 times before posting and then booting, after booting it ran like a dream and was doing great. I had grown to suspect that it was the motherboard because I couldn't really think of what else it might be, maybe the PSU. Well today I had tidied up some cable management and re-seated the mobo on the standoffs because I thought it might be shorting. After re-assembly I started everything and tore it apart again because there was a cable in a fan in the top, easy fix. Turned it on, went to bios and all of the settings were re-set to default? So I cleared the CMOS and re-seated the CMOS battery thinking that it might have been the culprit, mind you I have not gone as far as to boot into windows since the tear down. After this I re-do my bios settings and then boot into windows, log in, and start my usual browsing when boom computer shuts off... I check the power strip at my feet to make sure I didn't kick it off and then press the power button. It posts, I enter the bios and boom it shuts off... So I tear it apart and check every cable that I touched, re plugged in the CPU, ATX, and other cables and turn it back on. I get all the way into the log in and it shuts off again without warning, I did notice that the computer had forgotten the date/time and reset to 2008. Frustrated I went and watched a little bit of the olympics to calm myself down before I threw my computer across the room... I come back, turn it on and get all the way to my desktop and it shuts down again. After some messing around and timing the computer I have come to find that the longer I let it sit plugged it, the longer it will let me use the computer before it powers off instantly. If I wait a minute it will shut off really quick (bios) if I wait 20 minutes I can get 2-3 minutes out of it before it turns off. Also if I un-plug my power hungry video card it still does the random shutdown... What do y'all think I should go about next? Breadboard? I am about 2 weeks from the limit to RMA my mobo and my PSU is about 6 months old, but should still be under manufactures warranty. I know it is a little small for the stuff I am running but y'all take a look at my predicament and please give me your thoughts...

4 x 4Gb Geil RAM 1600MHz

3 x 2Tb Seagate 7200rpm storage (6Tb total in RAID 0)

3.5" Front Card Reader (SD/MicroSD/etc)

I came from a Phenom II x4 965, Biostar 970TA, and Zalman 92mm air cooler. The rest of the components stayed the same.

Just have it a shot. Cleared CMOS and tried to boot at 4.0ghz (stock) and no luck.

During my over clocking the board never seemed like it got dangerously hot. It is also an 8+2 phase board so I had thought it could handle that overclocking load.

Also the computer no longer cycles on/off before booting. It just turns on and boots the first time but only for it's short lived time. Any other suggestions?
