The licensing has changed significantly with Windows 8/8.1

If you buy it and install it, It can be reinstalled on new hardware, transferred to another PC, sold, whatever.
If it comes preinstalled, then it is tied to that hardware.

If you are buying it and installing it, very little difference.

The only real difference is who you can get 'support' from.
Retail = you can call Microsoft.
System Builder = you can call you.

But the actual need to call MS for anything is tiny. Go for whichever is cheapest.
