i am about to buy some new upgrades for my PC my budget is pretty tight so either if its this or m5a97 r2.0 with fx-6300.

i have heard that the motherboard has less power phases(4+2) which in order to install the processor are less the cpu will run but it will over heat

also can this motherboard handle overclocking? i will overclock to like 4.0-4.2 ghz

other components:-

zotac geforce gtx 650
corsair vs450w PSU

Solution
power phase is absolutely fine and there is no way your processor will overheat.

The motherboard and 8350 combo is a great option and is compatible and will work absolutely fine. Only thing with OC is that the stock cooler is terrible, the best CPU cooler for the price is the Cooler Master hyper 212 EVO, It's only $40 and well worth it.

thanks alot for your advice it means alot :) please also state the answer to "can i overclock it?" if yess then how much? and yes i can get the 212 evo but its really coslty here.. its like $70 where i live(india) but i will and i want to overclock to its limits.. i have heard some people say that maximum volt should not be more than 1.45 while overclocking is that true? whats the limit i can overclock it to?

P.S. the weather is really hot where i live its like 40C in summers.

dude even i live in india ..... i know its costly ... try to get tx3 evo ... same like 212 just with 3 heat pipes ... i myself have it its around 1600 on flipkart .... if u know a distibutor or someone then 1400

Well, I live in Australia and the temps are looking pretty similar, You can OC the 8320 and I would OC it around 4.7GHz with the Hyper 212 EVO. The voltage is fine, But you can really OC to as high as 7GHz (I think) but going over 5GHz isn't recommended as for heat and it won't be stable.

tx3 evo will do the job because hyper 212 is too expensive .... i get around 55*c while playing bf4 on high settings ...
full hd .....without fan or airconditioning ...
outside temp is around 42*c with hot winds blowing
