The asus has a vrm heatsink which is necessary for overclocking. The vrm (Voltage regulator module) delivers the voltage for the cpu. When you are overclocking, your processor needs more power and the vrm modules get hot. Anyway ive got the msi and made my own vrm heatsink out of an old playsration cooler and replaced the northbridge heatsink with stock fx 6300 cooler without the fan and it works fine for me. Ive overclocked my 6300 to 4,5 ghz for 24/7 use. But when you are not planning to mod the motherboard, i would go with the asus.
