Why do you want to upgrade from 98 to 98se? You will most likely not be able to use the SE disk that came with the other computer. The only way to do the upgrade would to be to get a 98SE disk and a valid key and upgrade it that way. but in my opinion it is not worth your time effort and money. SE is not that much different than SE and all of the changes were under the hood. running SE will not make you any more secure than running 95 or 98 because support for those OS's ended so long ago and so many new exploits have been found since then.

If you have a Windows 98SE license key to go with your other disk, it will work. Your Windows 98 license key may not work for 98 SE, I can't remember (probably not). In any case, 98 does not "phone home" so there is no authentication or activation to worry about, if you find any 98 SE key you can use it (Windows XP was the first Microsoft OS to activate or phone home).

I believe the only advantage to Windows 98 SE over 98 was that it offered USB support. Not sure 98 supported USB.

USB has been supported in WIN 9x since win 95 OSR2. Win 98 had improved USB support and other under the hood changes. The difference between 98 and 98SE is in my opinion not worth the time and effort now, unless you have a specific need for SE (i.e. some program says it is required for installation) I recommend you leave it alone.
