What does it actually do and will I need it?

The first one is, unless you plan to add a new cooler the one that come with that CPU will have it applied

If you are just using the stock CPU cooler, you do not need it. It will come pre-applied. It goes between the CPU and CPU cooler to help the transfer of heat.

Neither of those motherboards is great, but the ASUS is better.

That ASUS is fine for a cheap motherboard. It isn't low quality or anything just low end. You will not really be able to do much overclocking on it. That's about it. It will not affect computer performance.
