Huh? This has nothing to do with overclocking, they are the exact same cards.

Anyways, to the OP, questions like "is it worth it" are meaningless. Obviously you get the exact same card, but with no accessories, no games, and a very limited warranty. They're typically refurbished. In exchange, you save a few bucks, exactly how much depends on the one you get.

Only you can say whether or not what you give up is worth the price to you.
