I am trying to upgrade my Dell XPS 420 for gaming. I have $300-$400 to spend please help.

You could get another 4GB ram and a gtx 760 or r9 270/x

Ok we can't help you if we don't know what CPU and graphics card you currently have in there... quadcore vs dualcore cpu matters a lot more if your graphics card is already fairly recent.
