I have amd athlon 64 3200 + and i can't overclock it over 2.40 ghz. If I try to overclock it over 2.40 ghz it returns back to 2.00 ghz. Is there any solution? :)

Very possibly, your motherboard is able to detect that your CPU is not stable at that speed (and in fact won't even boot), so it returns to default settings. Increasing voltage may allow it to become stable, but be very careful with voltage; that's how parts get killed. If you adjust voltage, do it in tiny steps only, and carefully monitor your temperatures.

What're your temps like and are you getting BIOS failures? If you're not monitoring your temps, I recommend you don't overclock and please try to research this topic more because monitoring your temps is crucial. If your temps are going too high your processor will automatically underclock itself so to ensure it's not damaged.

If you're getting BIOS failures, your voltage isn't sufficient enough for above 2.4 GHz.
