Will it fit with my ram and case

That's a mid sized tower, so it should definitely fit, and the heat spreader isn't very wide, so I think it will just barely cover the first ram slot. In short, that setup will certainly work, but if you want to add two more ram modules later, it might be a tight squeeze.
