Hi,
Simply, you have a motherboard issue. http://www.computerhope.com/beep.htm
Better is to save some money and buy a new PC with 550$. As you said you want to upgrade that old PC :

CPU: AMD Athlon X4 750K 3.4GHz Quad-Core Processor ($79.98 @ OutletPC)
Motherboard: ASRock FM2A88X Extreme4+ ATX FM2+ Motherboard ($69.99 @ Newegg)
Storage: Western Digital Caviar Blue 1TB 3.5" 7200RPM Internal Hard Drive ($57.98 @ OutletPC)
Video Card: Sapphire Radeon R9 270X 2GB Video Card ($215.99 @ SuperBiiz)
Case: Corsair 200R ATX Mid Tower Case ($44.00 @ Newegg)
Power Supply: Antec High Current Gamer 620W 80+ Bronze Certified Semi-Modular ATX Power Supply ($59.99 @ Newegg)
Total: $527.93

Plays most of games high to ultra.
