Choosing a low budget CPU

Hi everyone. I need your help. I'm choosing a CPU for an upgrade. Budget is around 150-170$. My motherboard is on 1155 socket. Right now I have 3 options, all of them are very close in benchmarking performance, but there are some nuances.

1. i5 2500K
In my place I can get it for 155$. It's overclocking potential is great, but due to 32 nm manufacturing process it kinda requires more power. It is not critical, but rather noticeable.

2. i5 3470
It costs around 165$ and features less power consumption, but has no overclock, which is worse than eating a couple less watts.

3. i5 4430/4440
I don't even feel the actual difference between these and 3470. Costs the same 165$ and requires a new motherboard. I won't loose too much money on that, but it is an extra stuff to do.

I'm not limited with power supply. Longer-term options are more preferable.

Replacing motherboard is not a big deal, but only if there is a point of doing so. I have B75 chipset, but it also has overclocking settings. Or I won't be able to overclock that i5 2500K? And maybe some other variants?
