computer keeps restaring every 5 seconds

Hi everyone
so i have this problem, my pc wont boot up and keeps restarting every 5 seconds. My build is:
Intel core i5 3570
MSI z77a g43 MOBO
GTS 450 1gb graphics card
Huntkey gs 550 PSU
8GB RAM 1600Mhz

when i remove the video card and 2 RAM sticks it boots normaly so it seems like the video card or RAM, but when i use my old MOBO ( P5G41T-M LX) with my old processor it boots up fine with the GTS 450 so i dont know whats wrong with it. Could it be because of the RAM?

i allready tried that, it seems like it can olny boot up without the video card with 4gbs RAM (2 sticks), it wont boot up with the video card.

Does this have on-board video? And if so, disable it when you are using a graphics card.
