Most of the 970 boards don't overclock well especially with the fx 8 series cpu's. Many only uses a 4+1 power phase and have poor vrm cooling , while the 990x uses a 6+2 and has better VRM cooling.

with 4 ASUS power phases i got 4.2 Ghz out of my 970 M5a97 r2.0 + 8320 + Hyper 212 with no headroom (59C temp) (72 socket and climbing...)

Using an ASUS M5a99FX PRO now and it has 6 phases and i have it at 4.3 Ghz with heaps of headroom.
(55C temp) (65 socket) these temps for both boards are under P95 priority 10 blend tests 3 hours in.

I noticed the VRMs still get very hot, and my socket temp will hit 70 and climb once the CPU is at 55C without this extra cooling method ive employed.

Ive had to place a small 80MM fan behind the motherboard socket for now. (the side panel has side intake, im using it on the back now for side intake on the back of the motherboard ( a lucky fix, not how its intended to be used though, tight squeeze (non slim fan)).

I expected to be able to get *more* out of the power phase delivery since its 50% more VRMs than the 970 M5a97 had for the CPU. It does feel to all run at about 60% load when the other setup felt like pushing it at 80%+, really close to its limits, while ive yet to really *push* the 99FX PRO. Its DIGI+ controls are elaborate and can be tweaked in so many ways. ASUS auto OC tuner gets me to 4.5 Ghz easily, but its never stable (i get BSODs using auto tuner lol) but i know with FSB 4.5Ghz+ is possible.

Also consider liquid cooling. you know you have PSU power to accomodate, now youll have a motherboard will a power phase delivery that can keep up too, but the cooler will become the *bottleneck* at that point. with a Hyper 212 EVO dont expect past 4.5 ghz and thats with some serious tweaking. I have power saving features still enabled, with balanced mode in windows, at 4.3 and im satisfied.

Yours has 4+2 with better cooling than the Gigabyte board. I guess I should edit my post to say most of the 970 boards are poor overclockers.

Yeah the 4 are for the CPU and the +2 is for the northbridge and southrbrige VRMs. His North and south share a VRM i suppose?
