WD 10EADS can't convert to NTFS

I have tried multiple times to convert it from FAT32 to NTFS and it gives me this message http://postimg.org/image/iilctaam1/340eca34/ .I haven't reformatted it yet because I need my files. Is there something that I'm missing and that's why it keeps failing.
 
Solution
There are several reasons why this would fail.

1. there is physical damage to the drive surface, leaving bad sectors. Run "chkdsk c: /r" at the command prompt (assuming you're on the C: drive. If not, substitute the correct drive letter) and then reboot. it will do a thorough drive check on reboot. if there are bad sectors, it will tell you, and you will need to replace the drive as soon as possible.

2. there is logical file or MFT damage. a chkdsk will take care of this too. If, after step 1, you don't have any bad sectors, try to convert. it may have been logical damage which would now be corrected.

3. the partition is too full to convert. If you don't have enough space, it won't convert the drive. Free up space and try...
