Should I do this Upgrade to my CPU?

My current CPU Configuration is -
Intel DG31PR motherboard
Core 2 Duo E7400 2.8GHz Pocessor
DDR2 PC2-6400 1GB + 2GB RAM
500W Power supply

Now tell me should I go for this new config. under $200...
GIGABYTE GA-B75M-D3H Motherboard
AMD 3.3GHz AM3 Phenom II 560 Processor
Powercolor ATI/AMD Radeon HD5570 1GB DDR3 Graphics Card
Corsair DDR3 4GB PC RAM...

Edited: Sorry I forgot to mention it the first time... I want a gaming CPU in that price.... Not like playing Crysis 3(high graphical game) but like Mass effect with high settings...

Honestly you should just save up some more money. Keep the PSU, and get something like an FX-6300 + HD 260X. Then again, idk what you want this PC for...

First thing: You can't do that upgrade, because that motherboard is an Intel LGA 1155 socket, which no AMD processor will fit in, you'd have to find a motherboard with an AM3 socket.

Edit: Looks like someone already said that, whoops.

Honestly, it sounds like you're in the same boat I was in about a year ago, I had a Core 2 Duo and kept dancing around spending $100 to upgrade it to a quad-core of the same generation. Eventually I decided to just save my money, and once I had about $1,200 I went with a whole new build. You'll get much more out of doing something like that instead of spending $200 on very minor upgrades in the interim. You don't necessarily need $1,200 (all depends on what you want to upgrade for) but once you have a good target price point, we'd be more than happy to help you with a fresh build.
 
According to: http://www.cpubenchmark.net/mid_range_cpus.html Your CPU will improve from the 866th best CPU to the 742nd best CPU. For another couple of bucks you could get an i3 4130 which is is 272nd place. That's the way I would go. The your PC would be low end but state of the art. A corresponding motherboard would cost about $60US - again another few dollars.

The GTX750Ti is ranked 40th and costs $150 compared to your HD5570 that's 268th and costs $185.

But maybe you're getting all this new stuff for nothing.

If you made my suggested changes you could probably even play 1080p
 


To be fair, I found a 5570 that cost $60. We're really not sure how little he intends to spend.
It would have been better if he posted what he was willing to spend.

My budget is no more but 200$... Please Suggest me a config. that is limited to that budget... and also that should be a gaming PC config.
(What if I don't change the processor just update the motherboard to the said GIGABYTE model and GPU...)

The problem there is your processor won't fit a newer motherboard, every generation is a different socket, and in addition to needing a new processor, you'd also need new RAM, etc. The motherboard you're referring to is an LGA 1155 (1,155 pins), your processor is an LGA 755 (755 pins). And even if the motherboard did fit, you're not going to see any performance out of a new motherboard. The best thing to do would be what someone else suggested, get a better video card, and then save up for a new CPU/MOBO/RAM that you can upgrade to later. The video card will work in either set up.
