CPU and mobo upgrade under $400

Hello. Need to upgrade my PC. Looking for a new CPU+mobo. I have a GTX 560ti, 8GB DDR3, and 500w PSU to go with the new components. I run Windows 7 and mostly game(Skyrim, WoT, GTA 4/5) and surf the net, watch TV, etc. O/C'ing is not a must. Any help is appreciated.

This is what I have currently...

AMD Athlon II X4 631
8.00GB DDR3 @ 800MHz (9-9-9-24)
GA-A75-D3H (Socket M2)
GeForce GTX 560
Windows 7 Ultimate 64-bit SP1

Everything is stock except for the CPU which has been OC'd to 3.2 Ghz on air.

Thanks logainofhades. Can I OC a Xeon CPU? If running it at stock is a after market cooler necessary?

paitjsu, $250 is a great price for those parts. Any reason for recommending AMD?

no overclocking possible on xeon CPU's, no after market cooler required.

i updated my post with an advice and changed something BTW

After browsing more info on current components I will wait a while and go for a full upgrade. My gear is pretty long in the tooth so time to start anew. Thanks for the replies. They did help me.

You really don't need to start anew. The nice thing about a custom rig, it can evolve over time. Get your board and cpu now, then a GPU and maybe PSU. That is pretty much how my system got to where it is today. It still has components left over from previous setups. My HDD's and PSU being the oldest components. I originally had an HAF 922, and switched it out for a 932 advanced. I was running crossfired HD 5850's before I bought my 7970.
