hi.ive got a pc and i wanted to know what upgrades must i do if i wanted to play modern game on mid to high settings

If you still want to keep the base of this PC from most important to least upgrade:
1) GPU anything around GTX 750 or R260X is max for this CPU
2) CPU... id try to find some second hand Core2Quad for this mobo, thus a bit better GPU's than described above would be allowed this way.
3) RAM .. +4gigs .. as far as you have free slots... which i believe you dont since this mobo has only 2 and probably you have 2x2gig sticks already.

If you want a major boost then you would need to buy a whole new platform MOBO+CPU+ GPU + RAM... probably also PSU and HDD.
What PSU you have... it might be required to buy a new one anyways.

In the case of 300W PSU i guess only GTX 750 or GTX750ti is the only available option. Adding Core2Quad would also drain more power... let me do the math:
1) C2Quad 8400/9400/9500 = 95W so its +30 from your old CPU:
2) GTX750Ti = 60W
3) The rest of the system lets assume ~50W

95+60+50 = 200W/0.8 = 256W for Quad + 750ti upgrade (85% total PSU)
65+60+50 = 175/0.8 = 218 W for only 750ti upgrade (72% total PSU)

From my point of view version 1 with also Quad is very risky... as far as you theoretically still have some power left you need to remember the power has to be mixed between lines 12V and 5V correctly. You also need to add the age of the PSU to the equation... if you drain more from old PSU it can break for no reason.. especially if its cheap and/or non branded.

So final answer is only new GPU and it has to be either GTX750/GTX750ti or some less powerful without PCIEX power port... so it can drain all the power from PCIX which is max 75W TDP. Since those GTX has excellent performance/Wat I doubt there is another card even close to those considering performance.

For 100$ you wont get more than a GPU, Radeon R7 250 or GeForce GT 640... and thats far from being a mid end solution on modern games.
You wont need PSU change buying those tho... thats the least good information.

well i did some search and wanted to know if i could replace my motherboard so as to overclock my e5800 so as it doesnt bottleneck the gtx750ti and if i did so would my psu support this?Would i get higher fps if i replaced my motherboard?
