I don't think that is possible. You pretty much have to take a computer down to install an OS. If it were virtualized it might work, but that doesn't sound like it is the case here. A second set of hardware is necessary for the new OS if you want to maintain service.

AD migration tools are just about flawless so you shouldn't have issues once you have your 2008 server running.

Pretty sure that is correct. No upgrade path from 32 bit to 64 either.
