i have a i5 3570k at 4.0ghz and a gtx 780 and 12gb of 1600mhz ram
watch dogs recommends a i7 3770k will my rig be able to play it on ultra ??

Definitely yes. But, when I reccomend the 4770K to others, they say it's a waste and that it has the same gaming preformance as the 4670K. But you will be able to run it.
