AMD Phenom II X4 940 is socket AM2+ that only supports DDR2 memory and not DDR3 memory. The old motherboard was Form Factor: microATX. I don't see anything in that size for sale on eBay that is compatible with that processor.

New AMD microATX AM3+ motherboards are about $60,
You might want to buy a used Phenom II AM3 CPU or new AM3+ FX CPU.
DDR3 memory is also required.

This motherboard can use DDR2 memory if you install an AM2/AM2+/AM3 CPU.
