Hello I want to buy a new motherboard for around £40.00 that is capable of 16gb ddr3 ram .
On my existing motherboard I have intel core 2 duo cpu.
Will a new motherboard accept my cpu, hdd, power suply etc or do I have to replace it all and also will any motherboard fit in to any casing?
Thanks

It is not advisable to upgrade motherboard just for DDR3 ram so it is best for you to do Motherboard/CPU/Ram. Current form factor is different versions of ATX so it is important to know the casing.
RAM (DDR2 vs DDR3) is not a huge performance thing. If you are RAM constrained and want to upgrade from (for example) 4GB of DDR to 16GB of DDR3, that's a different thing. Can you please tell us more of what you really want to do?

ALso what case do you have and what is the form factor of your current board? The PSU and other components may need to be replaced/upgraded depending on what they are and what capabilities they have.
