Yes it will. But usually it is a good idea to leave a little bit of headroom with the wattage to avoid over stressing the PSU, in turn making it last longer. But I think that should be just fine.

I agree with above post. If you are buying a PSU, I would stick with Seasonic, Corsair, or XFX brands.

300 watt psu? I don't think they even make them anymore at that low a wattage. I would never buy a psu under 500 watts. Especially running a discrete video card and a quad core or better cpu.
