RAM or Motherboard?

Whenever I run my RAM at stock speeds I will experience constant freezing, rebooting, and shut downs. I often can't even boot into Windows. When I run the RAM at 800MHz everything is fine. This is consistent and repeatable.

PNY Optima 4GB 240-Pin DDR3 SDRAM DDR3 1333

*extra info
- Can't complete memtest at stock speeds because it will freeze. I managed to get 2 passes with 0 errors.
- the RAM used to run at stock but I believe an OC on the CPU caused the issue
- I've swapped every other component so I know its one of these two

My BIOS is updated.

Full specs:
Asrock 970 extreme 3
4GB PNY RAM
Antec 550 Basiq Power
ASUS GTX 660 2GB OC
Crucial 128G SSD
WD 250GB HDD
FX 6300 4GHz

There's a lot of info on possible causes of this, but I wanted to keep this as short as possible. The most important chunk of info is that before I had to underclock the RAM, I did an OC on the CPU to 3.8GHz (on an Athlon II x3 455) using the motherboards automatic settings (stupid me). I've since then reset everything, ran at stock, overclocked manually, etc.

I swapped everything out except MB and RAM so I know it's not a PSU issue.
