what im running
asrock 970 Extreme3 R2.0 - 2 months old
amd fx-8320 - 2 months old
kingston v300 ssd - 2 months old
evga gtx 260 sc - ~ 5 years old
kingston hyperx blu x1 - 8 gb 1600 mhz - 2 months old
antec earth watts power supply(500W) ~ 5 years old

i did a mem test, ran for over 8 hours, 0 errors
safemode was the only solution i could run my pc without problems...
the ssd is not the issue, i swapped it with a hdd and attempted to to reinstall windows.
did a clean boot.

I did not:
swap the gpu for another
replace the cmon battery(swap it for another)

all values in bios run on factory settings(most of them auto)
cpu temps are between 50 and 60 degrees tops
gpu reach 70 degrees under a certain load.

never overclocked.

The pc freezes without any bsod. i tried reinstalling windows and usually it remains stuck in different places of the install (couldnt form a pattern)

Solution
Im updating this in order to share my solution, maybe someone else will/has this kind of problem
Seems this was happening again on new installed windows 8.1 and i managed to find a solution
Freezes on installer were caused by bios settings for storage
Freezes on main (hardfreezes) were caused by a conflict of audio devices... I just disabled some of the audio devices and it seems 3 days have passed without a problem.

Well, your GPU and PSU are 5 years old, which is fairly olf for computer parts, and since you've tried swapping out everything else, it is likely one of those two.

Can you try a different graphics card? That should be your next step. Or the CPU on-board graphics if it has it, and if the motherboard exposes it.

the asrock 970 doesnt have any onboard graphics.
i will try later to swap gpu with another.
i also installed lately a case fan, i would try to remove that also to see if it causes instability of the psu.
the freezez are for arround a month ago.
at first they were one at 1-2 days, and lately they intensified, to almost every boot.
i used the gpu and psu on the former pc (e8400+2x2gb corsair ddr2 1033 mhz+asus p5ql pro), and it ran without any issues 24/24 for months in a row... with an ocasional weekly restart.

any ideeas on bios? should i set manually ram frequency ? since on auto it runs on 1333 mhz and the rams are stock 1600(it gets downclocked)

The RAM you should set the settings manually if it doesn't have XMP - though check what's the max RAM speed your CPU can use as well. Many times the motherboard won't auto-detect your RAM settings so you will have to set them manually.

With your latest description your freezes do sound like a PSU issue btw...

As a cause of the freezes? Your memtest dhould hopefuuly be enough to eliminate your RAM as a cause of your problems. The settings detected in the motherboard are a separate issue - you want to set it to XMP or equivalent (ie 1600Mhz if that's what your RAM can do) simply to make proper use of its speed. But probably better to not make those changes yet, until the cause of your freezes is determined, otherwise you might find you want to run a super long memtest again with the new settings...
