The angle of the aftermarket CPU cooler.

I was planning to buy a new CPU cooler after realizing how hot my CPU gets while using my stock AMD cooler. I have a mid tower case but my uncle gave me his spare Asrock FM2A88x-ITX+ (mini itx) so I am currently using it. I'm thinking of the NZXT Respire t40 or the Enermax ETS-T40-W. Both of them fit but because I am not sure of the ram clearance (I am not using a low profile ram kit. I am using a single kit 8GB Ripjaw X from g.skill) and how much the CPU cooler will take so I might have to install the CPU cooler facing down and onto my graphics card. Does this effect the cooling?

My case is a NZXT Phantom 410. Here is my fan setup:
Front: Intake 1x140mm
Top: Both exhaust, 1x140mm and 1x120mm
Back: Exhaust 1x140mm.
 
Solution
It will affect the cooling, but not dramatically - the CPU will still be massively cooler.

It is best to have the cooler pushing air towards a case fan that will then push it out of the case, so try and setup this way if possible, but if not don't worry if you can't
