The Xeon is a server part and should have higher binning (better quality silicon), Also it will be compatible in server motherboards with more than 1 CPU sockets. I would suggest if it is anything besides a server or workstation go with the normal Core 2 Quad if it is between those 2 CPUs. The Core 2 Quad platform is however very old and there are better options on the market in terms of both performance per watt and performance per dollar.
