AMD-760k vs i5

I know the i5 is much much better, but I was wondering if I were to upgrade to an i5 including Mobo could I and it be worth it only spend $300? Should I get a after market cooler or could I with my price range, what do you guys think? Or should I buy a water cooler and over clock the 760k the most I can?
