Cpu and RAM problems

Hello guys! I have a little problem with my rig, it's kinda old. First , these are my hardwares: Amd Athlon II X3 -3 cores, 3.1Ghz, and 2x2 ram by Corsair. The ideea is that my computer for some reasons works kinda slow, from the loading of My Computer and Moziila Firefox to lagging a lot and bottlenecking( I think ) an old game like this: Call of Duty 4, cause there are a lot of A.I. bots in a mission.(my gpu: Gygabite Gtx 550ti 1gb, 192bit) or could be the ram problem. First I was thinking that the cpu's years are done, i used it like 3-4 years and he's done and could be the ram problem for transfering data.
I was looking to upgrade my cpu with and AMD Phenom II x4 965 or a good cpu that has a socket for AM3 and at the same time upgrading my ram with another 2gb. Am i making a mistake or a good improve by upgrading with that cpu and ram ? Tell me your ideas. Thanks again !!
Oh.. and my PC is 32bit- windows 7 and i think this can affect a little my experience in games etc.

32 bit Windows, 4 gig of ram is max you can use, you cannot install more memory.
Everything in your system is showing its age. I don't think a new CPU is going to do much at all for you either by its self. You also need a better GPU to play the games you are talking about, in higher detail levels anyway.
I would do a fresh install of Win 7 64 bit. I would then add more memory, and a better GPU, if I was going to keep this platform.
Personally though, I would move on to a new motherboard/CPU/memory combination all together.

Am I making a good move if i change the cpu and ram and windows(64-bit)? Like i don't care a lot of gpu, it's doing a great job for my, but here is example: I wanted like a normal person to play let's say Counter Strike GO with my friends etc and i wanted at the same time to listen music, my PC was overdestroyed hard to say, everything was on the lowest even before but no the hardest experience for me( i'm not a fan of ultras and overclocking ). The interesting part is that the pc 1year ago or let's say in the summer of 2013, everthing was working awesome!! no problems. Could be viruses causing this but i don't think so.
