Both are r9 290 WindForce
but What is the difference

The Gigabyte GV-R929OC-4GD is a factory overclocked model. This means out of the box it may be slightly faster, however both models can most likely manually overclock to reach the same levels. Also the OC model may be 'binned' slightly higher such that its overclocking potential is better. The OC model is most likely slightly more expensive.
