Gigabyte GA-970A-DS3P vs Asus M5A97 @ same price

Lets say both of the motherboards described above are the same price.

Which one is worth getting?

If part of the answer is what I'm looking to do with it, then here are some considerations.

I'm looking to overclock my CPU if I get either of these motherboards. Then I'll probably purchase liquid coolers.
Somewhere down the line I expect to buy an entirely new processor.
I want to use USB 3.0. Two usb slots on my computer are currently useless.
I want to install lots of case fans in my rig. Maybe around 4 or 5, but possible more.
I'm currently using AMD Phenom II X6 1055T.

The gigbyte board isn't all that good, I'm not a fan of the ds3p board, the ud3p is amazing but the ds3p has a bad rep. For something like a phenom a board with a 6+2 power phase is more than good enough. For features the asus would be the best, but my personal favorite for any am3+ board that I won't be going crossfire or sli, or one of the higher than 125w processors. The gigabyte board is amazingly solid for the price and even allows people to overclock an fx 8350 fairly well.

Are you talking about ud3p or ds3p?
