PC Upgrade Question

I've been meaning to upgrade my RAM for quite sometime now, but in the process of doing so I realized that I had to also upgrade my motherboard. Thinking about that raised even more questions as to whether or not I should upgrade my motherboard to fit my preexisting CPU or whether I should get a more modern mobo and CPU. Here are my current specs;

So my question is, should I just upgrade my mobo to fit my current CPU that is DDR3 compatible, or should I splash out on new hardware, which will consist of;
-Kingston Predator 8GB 2400 (ram)
-MSI Z97 GUARD-PRO (mobo)
-Intel Core i5 4460 3.2GHz 6MB (cpu)

Budget isn't really an issue since I haven't upgraded anything except my gpu in 4-5years (I could even leverage the cost of the upgrade by selling the stuff I salvage), but if there's no good reason to, I'd rather keep the money.
