cpu core temps very high

my specs are
intel core 2 duo E8400 @3ghz with stock intel cooler
asus p5kvm
4gb ddr2 ram,
1 tb hdd,nvidia 9500gt 1gb.
cooler master extreme power plus 460w
at idle the core temp is 52c on both core.when i used intel diagnostic tool the tests report says that my cpu has passed .but what i noticed is that when the core temp reaches 100c on both cores either any one of the core shuts off completely and switches on again .what might be the problem motherboard or processor .i have refitted the processor heatsink very well applying thermal paste .

Is the cooler dusty, can you feel some airflow going over it? Is the noise bad? If the noise is bad and the temps are bad too, something surely is wrong. If it is quiet, probably a software problem, and you can relax.
What temps are you getting?

cooler is good and i have cleaned it .and the fan is operating at it's normal speeds.but the problem is my system freezing when i get into desktop .i can't even move the mouse ,the keybords num lock,caps lock not responding at all and after i restart the system i get an error message as overclocking failed press f1 to continue.so i just press the f1 and reset the default settings and boot into the desktop .this problem happens every one in a week and i don't know which part is causing the problem also the chipset near the processor is getting very hot and i can't even touch it.

my case is a micro-atx based case with 80mm rear fan as exhaust ,as side 80mm intake and the psu itself acts as an exhaust which sucks the air from the case .both the case fans are molex type and they are not pressure optimized fans they are just normal case fans.

I would never oc on stock cooling, but if you say that there is hard stresstesting, the cpu temp is not the problem.
If possible, try to put a fan, just ghettorig it, over the vrm on the motherboard, or use existing fan to do it.

I could not see vrm temps sadly, so i cant see if its the problem

is there any other option to see vrm temp?the reason why i asked to overclock my cpu to specifically 3.3ghz is that the same architecture based core2duo E8600 runs at 3.3ghz at stock .thought might not be problem.
