Would I be Limiting my power with adding a gtx 770 lightning to my set-up?

I have a reference gtx 770 in my rig currently. I am able to pick up a refurbished msi gtx 770 lightning. Would I limit the lightning if I put it in a setup with the reference 770, because of the clock speeds? Would i be better off getting a non Overclocked 770 to do sli?

Yes. The faster GPU will always downclock to match the speed of the slower one.

What If I overclock my reference card? I have it running at 1200mhz currently.

If your reference GPU is capable of matching the frequency on the GTX 770 Lightning, go for it.
