Multiple boots to get pc working (CPU or MOBO problem)

Hi everyone,

Mobo - Asus Z97-A (UEFI BIOS)
Cpu - i7 4770k
GPU - Nvidia 760
PSU - EVGA Supernova 850W
RAM - 4x2G

About a month ago i purchased my current Mobo and Cpu and have had non-stop problems with booting and performance.

Almost every time i power my PC, it does not pass POST and gets caught on the VGA LED with a 1 long 3 short beep error code (which leads to my monitor not receiving an image and going back to standy-by). After i let it sit for 5 minutes i power off, wait 10 seconds and power on and it will 90% of the time pass POST and boot up normally.

However, i will usually have to reboot it one - three times more to get the actual intended performance out of it. At first i thought it was the GPU or PCI-e slot, so i switched it to the second slot i have, but to no avail, that is only a temp fix for the first boot. I RMAed the 760, received a new one and still my results were the same.

Now i think it is a Mobo or Cpu issue.
The Mobo, because it constantly gives me the red LED lit up, and the Cpu, because its core speed is 4.1 MHz idle (CPU-Z) and varies between 4.1-4.3, but under load i have seen it shoot to 2.3MHz and lower, much lower like 59.34 Hz, of course after the 1-3 reboots i do if it straightens out and performs like it should it will not jump like that.

I'm looking for advice like should i RMA the Mobo or the Cpu or both, it is driving me nuts and it is burning me out from wanting to even mess with computers anymore =/
