Will a i5-4670k 3.4ghz fit P8Z68-V PRO - ASUS motherboard, and also my friend is upgrading from 32bit to 64bit is there anything else he will have to do? to get it to run in 64bit?

No, the i5 4670K uses socket 1150 while the motherboard takes socket 1155.
The best thing for him would be a i5 3570K, it's only a generation older and the performace is almost identical.

At the moment he is using intel i5 2500k
I wouldnt upgrade from the 2500k at the moment to be honest, just get a good cooler and overclock, its still a very very fast CPU especially with an overclock.
To use a Ivybridge cpu on a Z68 motherboard you usually need to download an update file for the bios from the motherboard maker.

If you want to use the i5 3570K (or any other 3000 series processor) you'll have to update the bios in order for it to work, but as other people have said the i5 2500K is still a decent processor.

Yeah you need bios version 3402 or newer to cover all the ivybridge cpus, but its worth just going to the newest version. Do this before putting in the new cpu or it will not work (I had to use my 2500k on my friends Gigabyte Z68 to update the bios before his 3470 would boot.

If he doesnt game much, tell him to get a SSD (if he doesnt already have one) they make things much faster in windows and more reponsive by a huge amount (way more than changing from a 2500k to a 3770k)
