Upgrading a Dell Inspiron 530s

I have a 6 year old 530s that is now extremely slow, and I dont think its C2D e4400 can take much more.
I am considering upgrading to a matx FM2 mobo and an athlon 760K cpu as an upgrade, with some spare DDR3 I have lying around, would this work without a psu upgrade?
Current specs:
Nvidia 9400lp GPU
2GB DDR2
Horrible OEM mobo
500gb hdd
250W psu
Any upgrade should preferably cost under £100, since that is the current maximum my budget will allow.

the only 2 thing can help this comp is more Ram and Video card

but then the PSU might not able to handle any newer card ... get some of the old one is so cheap now a day will work better than what you have.

after purchase the ram ... then what ever left then that your budget on Video card

I dont need any more graphical performance out of it, I just need better performance for office tasks.
Any new gpu would probably be wasted on the owner, who does not play games.
also, the ram I have got is 4gb ddr3, so a new mobo/cpu will be needed anyway if I use that.

just office then check with Dell to see what the max ram you can use .. that is the only thing will help with this.. beside just office task then more ram the better.

Alright, let me clarify:
The replacement RAM I have already got (replaced from my own pc) is DDR3, the current mobo is DDR2, max 8gb, and is only compatible with C2Ds, not quads or extremes (also, decent lga 775 cpus are stupid prices right now).
The current processor is a 60W tdp E4400 2ghz, which is utter shite and is under 100% load whilst running outlook.
I WILL replace the processor and mobo, with stuff that will work with DDR3.
I am just worried that the replacement parts may overload the rubbish 250W proprietry form factor PSU, and I cannot afford a new case, psu, cpu and mobo at the moment.

Edit: I have ordered the parts anyway, I will post again if the PSU goes out with pyrotechnics.
