9 Year Old System Requires Upgrading

Built this computer around 2003-5, building a whole new system already to supersede it, but want this to run well with Windows 7 for office use and bluray playbackvia network drive, photo editing(Adobe Photoshop CC 2014)
Back then, this costed £1200 including keyboard/mouse/2 monitors lol

Windows XP SP3
Intel Pentium 4 3.2ghz (socket775)
CPU Cooler Spire SP519S7 Starflow
Geforce 6800GS 256MB
4GB RAM (4x 1GB(3200MB Recognised))
2x 250GB HDD
Motherboard: Asus P5LD2-VM Rev1.03G (http://www.asus.com/Motherboards/P5LD2VM/)
-1PCI-e free, 1PCI-e flush with GPU chip
PSU Antec NEO HE430 430W
Case: Antec Silent, Model unknown, 2x 120mm front intake fans with filters, 120mm rear

The only fault that Windows 7 Upgrade Advisor informs is : "Your PC does not support hardware assisted virtualization technology." which i assume just requires a better GPU, though it Does support Aero

So want the cheapest possible upgrade solution, preferably not changing motherboard. Will post budget soon but very tight to restore this

The P4 doesn't support virtualzation(http://www.intel.com/content/www/us/en/virtualization/virtualization-technology/hardware-assist-virtualization-technology.html).
A p4 is not going to run win7 very well no matter what you do. That board does support some of the first core 2 duos and that would help. try finding one of the core 2 duos on this list

thanks, i'll get a core 2 duo cpu, should i upgrade the gpu too or would it be sufficient? (currently suits its uses on xp, but would spend max £40 if needed)
