how to update bios if system have no os and cpu is compatible with the motherboard but the bios isn't.?

Bios upgrade before os install needed otherwise wasted money.

most motherboards can only get a bios update if you can download one, which requires an os. why do you have to update it first?

You definitely need a CPU to work. Some motherboards work with incompatible CPU but will have limited performance.
Depending on your motherboard, you might be able to update from bios using a USB drive or some have recovery mode where you can do it from a CD with bios file burned to it.
What CPU/Motherboard are we talking about?
