Did you try the following?
1. load the default settings in the bios.
2. It might be due to the SATA hard drive mode getting reset when you reset your BIOS to its default settings. If this setting is different than what is was when you installed Windows, Windows will likely fail to load. The options are usually AHCI, IDE (sometimes listed as ATA), and RAID.
3. Try disabling the power saving features in your BIOS
4. Try increasing the CPU voltage. If you aren't able to alter the voltage (or don't want to), try decreasing the CPU multiplier or reducing the FSB speed. This will run the processor at a slower speed, which may make it more stable.
If that doesn't help, you may need to adjust other voltages or speeds related to the chipset, FSB, or ram. If you're not familiar with how to do this, I recommend searching for a core 2 quad overclocking guide. Even though you're not overclocking, it should cover what to adjust to get your system stable.

Thank you for your suggestion, it really helped. I had a problem with the stability on my computer and had to adjust everything manually(I looked through the motherboard's manual to the overclock section and I read about everything mentioned there to see if it can improve stability).
I will write down everything that i modified in case someone is confronting a problem like mine.
For the beggining as I already mentioned i installed a new xeon 5460 from harpertown series on my asus p5b se motherboard and the windows gave me blue screen of death after blue screen of death even though I tried to reinstall the windows or another OS ( ubuntu and zorin didn't worked too).
After this i started to read about overclocking and different parameters, i didn't overclocked my cpu but i set everything to be compatible with it.
First I disabled the cloack spread spectrum to improve the stability.
Secound time I changed the frequency of the cpu to 333Mhz to overclock the motherboard to 1333 fsb ( note that p5b se is not officially developed for 1333 but asus developed a technology that allows it but in overclock mode).
Third time I set my Ram frequency to 667 Mhz to be in a 1:2 ration with the fsb in case the sistem underclocked my rams, but here something strange happened my RAMs now were overclocked to 800+ frequency(thing that I noticed later).
Forth time I set the Q Fan control to enable and set it performance , because I wanted to maintain my cpu cool enough.
Other changes that I made are changing ACPI from version 1 to version 3, disabled quick boot, and the logo , but this is not something that would affect the stability I suppose.
After this set of changes I was abel to start up both my windows 7 and 8 and both of them installed the new cpu, but even though my PC didn't move as I expected( was not moving much faster than with my dual core D950 3 Ghz 4 MB cache) and i couldn't do anything about that. I even tried to reduce my RAMs timing (and it worked ,

Right now i tried the same thing with an asrock g41m-vs3 r2.0 motherboard and everything looks fine except 1 thing , the drive usage goes to 100 % very fast and I didn't noticed this before, but except this everything is ok. I mention that I use windows 8.1 on that computer, do you know what should I do ?
I would end this feedback with an opinion about this motherboard compatibility with 771 CPUs but I don't have any ideea if it's because of the cpu or my motherboard, anyway i hope the cpu is good because it fits very well that asrock and as i worked until now with my D950 i can still work.
